Michael Saylor Warns MSTR Investors to Prepare for ‘Difficult Years’ — Hold for at Least 4 Years

Key Takeaways

  • Michael Saylor warned MSTR investors to expect “difficult years,” recommending a minimum four-year holding period and preferably seven to 10 years.
  • Strategy is not prioritizing MSTR share buybacks and would likely consider them only if the stock traded at a substantial discount to net asset value.
  • Strategy’s $4.8 billion cash reserve gives it flexibility to buy Bitcoin, repurchase common or preferred shares, repay debt and, when necessary, sell Bitcoin.

Strategy Executive Chairman Michael Saylor has warned MSTR shareholders that the company’s Bitcoin-focused strategy may require them to endure several difficult years before seeing favorable results.

Speaking during a live investor Q&A on Monday, Saylor said investors should approach both Bitcoin and Strategy shares with a time horizon of at least four years. Holding for seven to 10 years would be preferable, he added.

“If you’re a short-term price predictor, you’re a trader,” Saylor said. “I don’t really have much useful wisdom for you.”

His remarks come as Strategy’s Bitcoin acquisition program has remained paused for seven weeks, while the company has instead directed recently raised capital toward preferred-stock repurchases, dividend payments and its dollar reserve.

Saylor Says Investors Must Withstand Difficult Periods

Saylor acknowledged that current market conditions have made Strategy’s position “tougher,” cautioning that shareholders may need to tolerate prolonged periods of volatility.

“We might have to actually ride through some number of months or a year or two to get to the point where things start to work to the benefit of the equity,” he said.

Strategy’s business model gives MSTR shareholders leveraged exposure to Bitcoin through a capital structure that includes common stock, convertible debt and several classes of preferred shares.

That structure can amplify gains during Bitcoin rallies, but it can also increase pressure on the stock when Bitcoin declines or MSTR trades closer to the value of the company’s underlying assets.

Saylor has repeatedly argued that investors should evaluate Bitcoin over full market cycles rather than attempting to predict short-term price movements. His preferred four-year horizon broadly corresponds with Bitcoin’s halving cycle and allows investors to look beyond temporary bull and bear markets.

Strategy Is Not Prioritizing MSTR Share Buybacks

Despite weakness in MSTR, Saylor said repurchasing common shares is not currently a priority. Strategy would likely consider buybacks only if its stock traded at a very deep discount to net asset value.

The company is instead prioritizing its STRC preferred-stock operation and maintaining financial flexibility. Strategy currently holds approximately $4.8 billion in cash, according to Saylor, providing several possible uses for its reserve.

The company could deploy that capital to purchase additional Bitcoin, buy back MSTR or preferred shares, or repay outstanding debt.

Strategy recently used funds raised through stock sales to repurchase $132.2 million of STRC shares, cover $52.4 million in STRC dividends and add approximately $150 million to its dollar reserve.

The decision suggests Strategy is currently emphasizing liquidity and management of its broader capital structure rather than immediately expanding its Bitcoin holdings.

Strategy Must Be Able to Sell Bitcoin, Saylor Says

Saylor also stressed that Strategy must retain the ability to sell Bitcoin, despite building its identity around continuous accumulation.

The comment marks an important qualification to the company’s long-standing Bitcoin strategy.

Although Saylor remains firmly bullish on the cryptocurrency’s long-term prospects, Strategy needs sufficient flexibility to meet debt obligations, fund dividends and respond to changing market conditions.

He recently predicted that Bitcoin could appreciate by an average of 30% annually over the next 20 years and outperform the S&P 500 over the long term. However, his latest warning makes clear that he does not expect that growth to occur without significant drawdowns.

For MSTR investors, Saylor’s message was straightforward: short-term volatility, and potentially several painful years, should be expected rather than treated as an exception.
